PAX Photos is operated by PAX US, LLC, a Florida limited liability company. These Terms explain the rules for using our service and, importantly, what you may and may not do with the photographs we provide.
These Terms of Service ("Terms") govern your access to and use of the PAX Photos mobile application, website, and related services (collectively, the "Service"), operated by PAX US, LLC ("PAX Photos," "we," "us," or "our"). By creating an account, accessing, downloading, or otherwise using the Service — including viewing or downloading any photograph — you agree to be bound by these Terms. If you do not agree, do not use the Service.
By using the Service you confirm that you are at least 18 years of age, or that you are using the Service under the supervision of a parent or legal guardian who agrees to these Terms on your behalf. If you are using the Service on behalf of a league, team, or organization, you represent that you are authorized to bind that entity to these Terms.
These Terms work together with our Privacy Policy, which is incorporated by reference. Where these Terms address personal data, the Privacy Policy governs.
PAX Photos provides youth sports photography and a platform through which leagues, teams, and families can view, access, and download photographs of registered players. The specific photos available to you depend on the league, team, and player registrations associated with your account.
We may add, change, or discontinue features of the Service at any time. We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation.
Access to photographs is granted per registered player and is intended for that player's own family and household. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.
We may suspend or revoke access that we reasonably believe is being shared, resold, or used in violation of these Terms.
All photographs made available through the Service are original creative works. PAX Photos (and/or its photographers, as applicable) is the author and exclusive owner of the copyright in every photograph, and retains all rights, title, and interest in and to those photographs, including all intellectual property rights.
Purchasing, downloading, or receiving access to a photo does not transfer copyright or ownership to you. You receive only the limited license described in Section 5.
The PAX Photos name, logo, and any watermarks or marks embedded in or displayed alongside the photographs are trademarks and copyright-management information of PAX US, LLC.
Subject to your compliance with these Terms and payment of any applicable fees, PAX Photos grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use photographs of the player(s) associated with your account for personal, non-commercial purposes only.
Any commercial use — including reproduction, distribution, licensing, or sale of the photographs for profit or business promotion — requires a separate written commercial license from PAX Photos. Contact us to request one.
Some photographs may display a PAX Photos watermark, logo, or credit. These marks identify the source and ownership of the work and constitute copyright-management information.
You may not remove, crop out, obscure, alter, or otherwise tamper with any PAX Photos watermark, logo, credit line, or embedded copyright or ownership information on any photograph.
Intentionally removing or altering such information — and in particular doing so in order to use, distribute, or sell a photograph — is a violation of these Terms and may also violate applicable copyright law, including the removal-of-copyright-management-information provisions of the U.S. Digital Millennium Copyright Act (17 U.S.C. § 1202).
Except as expressly permitted by the personal-use license in Section 5, and without a separate written license from PAX Photos, you may not:
These restrictions apply regardless of whether a photograph carries a visible watermark. The absence of a watermark does not grant any additional rights.
Certain features, downloads, or packages may require payment. Prices and available options are described at the point of purchase. Payments are processed by third-party payment processors; we do not store your full payment card details (see our Privacy Policy).
Because photographs are delivered as digital goods, all sales are generally final once access or download has been provided, except where required by law or where we determine, in our discretion, that a refund is warranted. If you believe there is a billing error, contact us and we will work with you in good faith to resolve it.
We may suspend or terminate your access to the Service, and revoke any license granted under these Terms, at any time if you violate these Terms or misuse the photographs. Termination does not entitle you to a refund where the violation caused the termination.
The ownership provisions (Section 4), license limitations (Section 5), watermark and branding rules (Section 6), prohibited uses (Section 7), and disclaimers and liability provisions (Section 10) survive any termination of your account or these Terms.
Our failure to enforce any provision is not a waiver of our right to enforce it later. We reserve all rights and remedies available to us at law and in equity, including for copyright infringement.
The Service and all photographs are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any particular photograph will be captured, available, or of any particular quality.
To the fullest extent permitted by law, PAX US, LLC and its members, officers, employees, and photographers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Where liability cannot be excluded, our total liability is limited to the amount you paid to us for the Service in the twelve (12) months preceding the claim.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute will be brought exclusively in the state or federal courts located in Florida.
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and post the new version here. Material changes may also be communicated through the Service.
Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
